The Bismarck-Mandan Home Builders Association will hold a Special Membership Meeting to review and vote on proposed amendments to the Association’s Bylaws.

The BMHBA Bylaws were last revised in January 2010. After more than 16 years, the Board has undertaken a review of the Bylaws to ensure they continue to reflect the Association’s current operations, financial responsibilities, communication practices, and long-term needs.
The purpose of this special meeting is to consider several proposed updates intended to modernize the Association’s governing documents, strengthen financial oversight, and provide clearer direction for future Boards and members.
The primary proposed changes include:
- Updated Mission Statement (Article 3) – Updating the Association’s mission to focus on strengthening the building industry, advancing homeownership, empowering industry professionals, and providing leadership, education, and advocacy.
- Updated Public Relations Language (Article 4) – Modernizing the Bylaws to recognize current communication methods, including digital media, social media, email, websites, local media, announcements, and educational information.
- Change to the Fiscal Year (Article 6) – Changing the Association’s fiscal year from July 1–June 30 to a calendar year of January 1–December 31.
- Investment and Reserve Funds (Article 13) – Formally establishing and defining the Association’s Emergency Reserve Fund, Scholarship Fund, and General Reserve Fund, along with a written Investment and Reserve Fund Policy governing the investment, management, transfer, use, oversight, and treatment of investment earnings for these funds.
- New Article 17 – Dissolution – Establishing clear procedures for handling the Association’s debts, restricted funds, investments, property, and other assets if the BMHBA were ever dissolved. Remaining assets would be directed to qualifying nonprofit organizations with purposes consistent with the Association’s mission and would not be distributed to individual members.
Under Article 16 of the Bylaws, amendments require approval by a two-thirds (2/3) vote of the members present, provided a quorum is present. A copy of the proposed amendments must also be provided to the primary contacts of Builder and Associate members at least five days prior to the meeting.
We encourage all members to review the proposed changes and attend the Special Membership Meeting. This is an important opportunity for the membership to help update documents that have governed the Association since their last revision in 2010 and help position the BMHBA for the years ahead.
